The Law of Mergers and Acquisitions
MIT Sloan's course on the legal dimensions of corporate mergers and acquisitions. Module I covers key deal roles and structures, walking through issues that arise in a friendly transaction, along with the legal aspects of leveraged buyouts, financial sponsors, and employment matters affecting managers during a deal. Module II turns to more complex scenarios: contested purchases of publicly held companies, transactions involving distressed or high-tech firms, antitrust concerns, allegations of misconduct by management or board members, and cross-border deals with non-U.S. companies. Materials come from MIT OpenCourseWare and include course readings and class session content reflecting the structure of the original MIT Sloan class.
